Purpose and scope

This Payments and Refunds Policy governs the financial terms of Votinova, the software service (SaaS) for interactive presentations and real-time audience voting operated by Atbion OÜ. Atbion OÜ provides the service directly to its customers; Votinova is not a marketplace or an intermediary between third parties, nor does it act as a payment service provider in transactions with third parties.

This Policy covers two types of product:

  • Subscription plans (FREE, PRO, TEAM and ENTERPRISE), which grant recurring access to the functionalities of the Platform.
  • Event passes (single-use packages), which enable additional capacity for a specific event or session.

Payments are processed through Stripe. Tax invoices are issued by Atbion OÜ in its own name, in accordance with section 5.

This Policy applies both to customers acting as businesses or professionals (B2B) and to customers acting as consumers (B2C) —for example, teachers, trainers or event organisers in their individual capacity—. Throughout the document, it is indicated, where appropriate, which rule applies to each case. The mandatory rights that European Union consumer protection legislation grants to consumer customers apply in any event.

This Policy forms an integral part of the Terms of Service and must be read together with them and with the Privacy Policy. In the event of a conflict between this Policy and the Terms of Service on financial matters, this Policy prevails.

Products and prices

2.1. Subscription plans

Votinova is offered under the following plans:

TEAMPaid plan for teams and organisations with collaboration needs.
ENTERPRISEPlan for organisations with advanced needs; it may include specific terms agreed in writing.

The functional scope, usage limits and price of each plan are shown on the pricing page and during the purchase process, before confirming payment.

2.2. Event passes

Event passes are one-off paid products that enable additional capacity (for example, a higher number of participants for a specific event) without the need to change plan. They are purchased on a one-time basis and do not generate automatic renewal.

2.3. Prices and VAT

All prices are expressed in euros (EUR). Prices are shown with the applicable VAT under the rules of section 4, depending on the customer's tax status (consumer or business) and country.

2.4. Treatment of card data

Atbion OÜ does not store the customer's card data. Payment data is entered and processed directly in the secure environment of Stripe, a payment service provider that complies with the applicable industry standards (including the PCI DSS standard). Atbion OÜ receives from Stripe only the information necessary to manage the contractual relationship and issue the invoice (for example, the payment result and the billing details).

Payment process

The purchase of paid plans and event passes is carried out through Stripe Checkout, Stripe's secure payment gateway. During the process, the customer:

  1. Selects the plan or the event pass.
  2. Reviews the price, the applicable VAT and, where relevant, the billing frequency.
  3. Enters the payment and billing data directly in the Stripe environment.
  4. Confirms the purchase.

Customers with an active subscription may manage their payment methods, view their billing and manage renewal through Stripe's customer portal (Customer Portal), accessible from their Votinova account.

The accepted payment methods are those that Stripe makes available for each product and country (for example, credit or debit cards and other payment methods common in the European Union). The availability of each method may vary depending on the customer's country and Stripe's configuration.

VAT

VAT is calculated automatically through Stripe Tax, with collection of the VAT identification number where appropriate. The applicable treatment depends on the customer's status and country, in accordance with the following table:

To benefit from the reverse charge, the business customer must provide a valid VAT identification number (verifiable through the European Commission's VIES system) that is truthful, in accordance with section 11. If the VAT number is not valid or is not provided, the transaction may be treated as B2C, with the corresponding VAT being applied.

Invoicing

Atbion OÜ issues its own tax invoice for each payment transaction, in its name and on its own account. Invoices are organised into two series with sequential numbering and no gaps:

  • SUB series — subscription invoices (paid plans).
  • PAS series — event pass invoices.

Each invoice identifies Atbion OÜ as the issuer (Estonian Commercial Register 16890390, VAT number EE102728154, registered office at Ahtri tn 12, Kesklinna linnaosa, Tallinn 15551, Harju maakond, Estonia) and includes the customer's billing details, the product details, the taxable base, the VAT applied in accordance with section 4 and, where appropriate, the reverse charge statement.

Invoices are generated in PDF format and are available for download from the customer's account on the Platform. Atbion OÜ is solely responsible for issuing the invoices; Stripe intervenes only as the payment processor and provider of the VAT calculation (Stripe Tax).

Billing cycle and automatic renewal

6.1. Frequency

Paid plans are contracted for the subscription period indicated at the time of purchase (for example, monthly or annual). The charge is made in advance, at the beginning of each period, through the payment method registered in Stripe.

6.2. Automatic renewal

Unless otherwise indicated at the time of purchase, paid subscriptions are renewed automatically at the end of each period for an equivalent period, at the price in force, and the corresponding amount is charged to the registered payment method. Renewal ensures the continuity of the service without interruptions.

Event passes are one-off paid products and do not renew automatically.

6.3. Cancellation of renewal

The customer may cancel the automatic renewal at any time from Stripe's customer portal accessible in their account, or by contacting Atbion OÜ at hello@atbion.com. The cancellation takes effect at the end of the current period already paid: the customer retains access to the contracted plan until that date and, from then on, no new charges are generated. The cancellation of the renewal does not, in itself, entitle the customer to a refund of the period already paid, without prejudice to the consumer rights described in sections 7 and 8.

Right of withdrawal (consumers)

7.1. General period

Customers acting as consumers have, in accordance with Directive 2011/83/EU on consumer rights, a period of fourteen (14) calendar days to withdraw from the contract without the need for justification, counted from the conclusion of the contract. To exercise it, the consumer may communicate their decision unequivocally to hello@atbion.com before the period expires.

7.2. Exception applicable to the digital service

Votinova is a digital service with immediate access. In accordance with Article 16(a) and (m) of Directive 2011/83/EU, the right of withdrawal does not apply when the performance of the service or the supply of digital content has begun with the prior and express consent of the consumer and with their acknowledgement that, once performance begins, they lose the right of withdrawal.

When contracting a paid plan or an event pass with immediate access, the consumer is asked to give such express consent and acknowledge the loss of the right of withdrawal. In that case, once performance has begun, no refund for withdrawal applies. If the consumer does not give that consent, the activation of the service may be delayed until the 14-day period has elapsed.

7.3. Business customers

Customers acting as businesses or professionals (B2B) have no right of withdrawal, as this is a right granted only to consumers.

Refunds

8.1. Consumer's legal rights for lack of conformity

Notwithstanding the foregoing, consumer customers retain their legal rights in the event of lack of conformity of the digital service, in accordance with Directive (EU) 2019/770 on contracts for the supply of digital content and digital services. If the service does not conform to what was contracted, the consumer is entitled to have it brought into conformity and, where appropriate, to a price reduction or to termination of the contract with the corresponding refund, under the terms of that legislation. These rights are free of charge for the consumer.

8.2. Digital service already consumed

Except in the cases of lack of conformity in section 8.1 or substantial modification in section 8.3, no refund applies for the digital service already consumed (for example, an event pass already used or the subscription period already enjoyed), once performance has validly begun with the consent described in section 7.2.

8.3. Pro rata refunds for substantial modification

If Atbion OÜ introduces a substantial modification of the service that negatively and significantly affects access to or use of the contracted plan, the affected customer may terminate the corresponding part of the contract and, where appropriate, receive a pro rata refund of the amount corresponding to the period not yet enjoyed, without prejudice to the mandatory rights of the consumer.

8.4. Discretionary good-faith refunds

Apart from the foregoing legal obligations, Atbion OÜ may grant, at its discretion and for good-faith reasons (for example, technical incidents or manifest duplicate charges), full or partial refunds that it is not obliged to make. The granting of a discretionary refund in one case does not give rise to a right to obtain it in analogous situations.

8.5. Processing

Refund requests are addressed to hello@atbion.com, indicating the invoice number and the reason. Approved refunds are paid through Stripe to the same payment method used for the purchase, except in the event of technical impossibility, and give rise to the corresponding correction of the invoice.

Non-payment, collection of payments and suspension

If a recurring charge cannot be completed (for example, due to insufficient funds or an expired or declined card), Stripe will perform automatic retries of the collection in accordance with its standard configuration.

Atbion OÜ will notify the customer of the non-payment by email and will invite them to update their payment method within a reasonable period. Once that period has elapsed without the payment being regularised, Atbion OÜ may suspend in a proportionate manner access to the paid functionalities of the plan, maintaining, where technically possible, access to the customer's data for a reasonable period to allow its regularisation or export.

Suspension for non-payment does not release the customer from the amounts already accrued. Atbion OÜ may claim the amounts owed by the legally available means. Once the payment has been regularised, access to the service will be restored without undue delay.

Price changes

Atbion OÜ may modify the prices of plans and event passes. Any price change applicable to an ongoing subscription will be communicated to the customer with reasonable prior notice by email and/or by publication on the Platform, before it takes effect.

The new price will apply from the next renewal. A customer who does not agree with the new price has the right not to renew their subscription, by cancelling the automatic renewal in accordance with section 6.3 before the new price is applied. Continued use of the service after the new price takes effect implies its acceptance, without prejudice to consumer rights.

Customer's tax obligations

The customer is responsible for the truthfulness and accuracy of the billing details it provides (name, tax address and, where appropriate, VAT identification number).

Business customers who wish to avail themselves of the reverse charge (reverse charge) must provide a valid VAT number that is in force, verifiable through the European Commission's VIES system. If the number provided is not valid, does not correspond to the customer or is not provided, Atbion OÜ will apply the VAT regime that legally corresponds and will not assume any liability for the tax consequences arising from incorrect or outdated data provided by the customer.

The customer is also responsible for complying with its own tax obligations in its jurisdiction, including, where appropriate, the self-assessment of VAT under the reverse charge regime.

Retention of invoices

Atbion OÜ retains the tax invoices and the associated accounting records for the period established by Estonian accounting legislation (Raamatupidamise seadus, the Estonian Accounting Act), which is seven (7) years.

Invoices remain available for download from the customer's account for the duration of the contractual relationship. The customer is advised to download and keep their own copies for their records and tax obligations.
